The services we provide include the formation of corporations, partnerships, limited liability companies, and limited liability partnerships; business transfers, mergers and acquisitions; takeovers; and dissolutions. We have represented a number of California's highest growth businesses, and have broad experience supporting all aspects of business operations and management. In addition, we regularly help clients structure and document financing agreements for start-up and ongoing business concerns. Our attorneys also assist individuals, partnerships, and corporate clients in negotiating and drafting agreements covering every phase of business. We serve as general counsel to various companies, from large public corporations to sole proprietorships, and provide special expertise to in-house counsel requiring outside representation. In addition, our attorneys are experienced as counsel to large industry associations such as the Business Software Alliance, whose members are among the largest software companies in the world. The firm's business litigators represent clients in complex state and federal litigation involving such diverse issues as business torts, antitrust and trade regulation, securities, unfair business practices, copyright and trademark infringement, commercial and contract disputes, employment practices, first and third-party insurance claims, product liability and Uniform Commercial Code/creditors' rights. Our securities attorneys advise corporate directors, officers, and management regarding the purchase and sale of company stock. We also prepare and file "insider" reports (Forms 3 and 4) required by the Securities Exchange Act of 1934, as well as stock exchange listing applications and all required filings and reports for the SEC, including Forms 10-Q and 10-K, quarterly and annual reports, and proxy materials for stockholders. We have represented issuers in the repurchase of securities through tender offers, in the open market, through private transactions and in odd-lot tender offers. In addition, we represent corporations in acquisitions and dispositions, hostile takeover attempts, and mergers, negotiating related cash and stock tender offers with investment banking participation. Our business practice extends beyond national borders to support clients conducting business throughout the world. We help companies establish overseas operations by assisting with and coordinating the formation of various business entities including subsidiaries and branch offices, and by negotiating and drafting international distribution, licensing, and other agreements. We also oversee foreign counsel to support worldwide operations and provide advice to help clients comply with federal, state, and foreign trade laws that affect companies doing business internationally. Through our immigration and nationality practice, we help businesses to employ foreign executives, key managers, technical specialists, and other professionals within the United States.
